Terms Of Service

These Terms and Conditions (“Terms”, “Terms of Service”) govern your relationship with https://hubplanner.com website, including all subdomains of hubplanner.com (such as client-name.hubplanner.com), web sites and services (the “Service”) operated by Hub Planner AB (“Hub Planner “, ”us”, “we”, or “our”). The Terms of Service constitute a legal agreement that governs your use of Hub Planner. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all Visitors, Users and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Please read these Terms of Service carefully before using the Service.

Service Description

The Service is a resource scheduling, timesheets, time reporting, financial reporting, vacation requesting, tasks and project management web-based application. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Hub Planner uses or may use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

Using the Service you agree to the following requirements:

  1. You must be thirteen (13) years or older to use this Service.
  1. You must be a human.
  1. Accounts registered by “bots” or other automated methods are not permitted.
  2. You must provide your legal full name, a valid email address, password, company name and any other information requested in order to complete the signup process.
  3. Your login may only be used by one single person – a single login shared by multiple Users is not permitted and violates the Terms.
  4. You may create separate logins for as many people as you are permitted by the paying package you have chosen to use.
  5. The Trial period offered by Hub Planner allows you to create unlimited users. If you have exceeded the number of users in your Trial when upgrading to a paid package then you will be required to delete the excess users before upgrading your account.
  6. You are responsible for maintaining the security of your account, login and password. Hub Planner cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  7. You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account).
  8. You agree that you will use the Service in compliance with all applicable local, state, national, and international laws, rules and regulations, including any laws regarding the transmission of technical data exported from your country of residence.
  9. You may not pretend or impersonate to be anyone, or any entity, you are not
  10. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
  11. You understand that you may also be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, or third-party software. If any part of these Terms of Service is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.
  12. You may not modify, adapt, manipulate or hack the Service or modify another website so as to falsely imply that it is associated with the Service or Hub Planner.
  13. You may not try and forge any emails to falsely imply an email is coming from Hub Planner domain, sub-domain and all aliases (‘spoofing’).
  14. You may not upload, post, e-mail, transmit, store or otherwise make available any material that contains viruses or any other computer code, files or programs designed to harm, interfere with or limit the normal operation of the Service (or any part thereof), or any other computer software or hardware;
  15. You may not advertise on the Service.
  16. You may not use any type of browser Auto Refresh to repeatedly auto refresh your Hub Planner page to use in connection with any external TV monitors, laptops or screens. Doing so is a direct violation of the terms of service.
  17. You may not reproduce, copy, duplicate, sell, resell, rent or trade the Service, or any portion thereof, for any purpose.
  18. You may not hack or try and gain restricted access to the Service.
  19. You may not plan or engage in illegal activity using the Service.

By accepting these Terms of Service you represent that you understand and agree to everything contained within this Terms of Service agreement.

Data Recovery

Hub Planner will maintain and backup the Service data on Hub Planner servers. The frequency of this backup will be determined in its sole discretion by Hub Planner and can be changed at any time. In the case of any loss of data due to server failure, malicious attacks, coding bugs, coding errors, hacks, security breaches or otherwise, Hub Planner is not responsible for any loss of data and will endeavor in its best efforts to recover the data to the most recent point of time from when the data loss occurred.

Free Trial

Hub Planner may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”) as a one-time offer for users to use the platform. At any time and without notice, Hub Planner reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer. No credit card is required to use the Free Trial. Once the trial expires you will be contacted and prompted to upgrade to one of the paying accounts.

Subscription, Payment, Refunds, Upgrading and Downgrading Terms

The Service is billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you canceled as outlined in the section “Cancellation and Termination”.

A valid payment method, including credit card, PayPal or invoice, is required to process the payment for your Subscription. You shall provide Hub Planner with accurate and complete billing information including full name, address, state, zip code, telephone number, VAT ID for those Customers purchasing from the EU, and a valid payment method information. By submitting such payment information, you automatically authorize Hub Planner to charge all Subscription fees incurred through your account to any such payment instruments.

Once you sign up for a paying plan with valid credit card details your payment card details will be stored and you will be entered into a recurring payment plan and billed immediately. You will then be billed monthly, or annually depending on the plan you choose starting on the 30th day after you have created your paying subscription for monthly, or the 180th day after you have created your paying subscription for 6 month subscriptions or the 360th day after you have created your paying subscription for annual subscriptions.

Regardless of what payment method you choose, credit card, debit card, cash card, invoice or PayPal or any other payment Hub Planner offers, The Service is billed in advance on a monthly or 6 month or annual basis, or a number of months as agreed in writing with Hub Planner, is recurring and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. No exceptions will be made, except when required by law, paid Subscription fees are non-refundable.

In order to downgrade your account, you must first set the status of a resource to ‘parked’ or delete the corresponding number of resources who will be removed from your account. This will render their data inactive and they will not be able to access their accounts. You will then be able to select a new pricing plan and will be billed the new amount at the next billing cycle. Downgrades are not pro-rated.

Downgrading your Service may cause the loss of Content, features, or capacity of your Account. Hub Planner does not accept any liability for such loss.

Billing Receipts are found under the Settings -> Billing History section. All billing receipts are downloaded from this section. No billing or subscription emails are sent, you must login to the service to monitor your payments and billing history.

For any billing disputes and/or if the account owner or person of contact is not contactable or participating in active dialog around a subscription billing dispute, we may contact other active users on the account to escalate or communicate the issue so it can be addressed and resolved in a timely manner.

Pricing is based on your geographic location. For those residing in Sweden, pricing will be in SEK (kr) and will be charged in SEK (kr). For those using the site from the EU, pricing will be in Euro (€) and payments will be charged in Euro(€). For those using the site from the UK, pricing will be in Great British Pound (£) and payments will be charged in Great British Pound (£) .For everyone else pricing will be in USD ($) and payments will be charged in USD ($). If you live outside the United States of America, this charge is converted by your bank into your local currency and should appear on your credit card statement in that currency.

Parked resources do not count towards your active and current resource limits. If you park resources, this will not automatically adjust your billing subscription amount, it only frees up licenses for you to use. If you wish to modify your billing subscription, you will need to do this via the settings on the billing page and choose new resource limits.

Fee Changes

Hub Planner, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Hub Planner will provide you with notified 30 days prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

If you select to upgrade or downgrade your plan level, your credit card will be charged the new rate at the next billing cycle along with the pro-rated amount from the previous month.

Modifications to the Service

Hub Planner reserves the right, at any time or from time to time, to modify, suspend, block or discontinue the Service (or any part thereof), temporarily or permanently, for any reason, with or without notice. Hub Planner shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Feedback & Feature Suggestions

As part of using the Service, Hub Planner will provide you with the opportunity to submit comments, suggestions, or other feedback regarding your use of the Service. You agree that Hub Planner will be free to use any feedback, comments, suggestions or other submitted material you provide for any purpose, including but not limited to feature enhancements.

Hub Planner Privacy Policy

You understand that by using the Service, you consent and agree to Hub Planner’s collection and use of certain information about you and certain technical or diagnostic information about your use of the Service. The terms and conditions of Hub Planners Privacy Policy as may be in effect from time to time, apply to collection and use of your information and is made a part of these Terms by this reference. Hub Planner Extensions

Hub Planner Extensions are provided on a subscription basis for a set term specified in your Hub Planner Subscription term chosen when subscribing to the service (“Subscription Term”). Except as otherwise specified in your Subscription Term, all extension subscriptions will automatically renew for periods equal to your initial Subscription Term (and you will be charged at the then-current rates) unless you cancel your subscription through your account at yourdomain.hubplanner.com. where ‘yourdomain’ is the domain you have registered with Hub Planner. If you cancel, your subscription will terminate immediately, but you will not be entitled to any credits or refunds for amounts accrued or paid prior to such termination.

You may only trial an extension once, any violation of this will deem your account in violation of our Terms and your account will be suspended. If you trial an extension, this will automatically start payment when the trial has ended for periods equal to your initial Subscription Term (and you will be charged at the then-current rates). You must cancel the trial before the trial days are finished in order to avoid the payment subscription being activated. Once payment is scheduled you will not be entitled to any credits or refunds for amounts accrued or paid prior to such termination.

By default the Account Owner and Administrator Roles have the right to Install, purchase and subscribe to Extensions. You are responsible to determine in the system who can install, purchase and subscribe to Extensions on your company’s behalf. Hub Planner is not responsible for who you allow to install Extensions. Once extensions are installed by any member of your account they will be scheduled for billing subscription. Once this billing subscription has been activated you will not be entitled to any credits or refunds for amounts accrued or paid prior to such termination.

Upgrading an Extension subscription will take effect immediately and you will be billed immediately. You will be prorated the amount through the term for an upgrade. Downgrades will be downgraded immediately and you will not be entitled to any credits or refunds for amounts accrued or paid prior to such termination.

Extension prices can be changed by Hub Planner from time to time. If you have already subscribed to an extension at a price, we will inform you within 30 days of the price change for you to review. If you do not have a subscribed Hub Planner extension, you will not be notified of any price change and will pay the current prices when subscribing.

Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, scheduling plans, time sheet data, report data, business metrics, employee data, company information or other material (“Content”). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness. By posting Content to the Service, you grant us the right and license to use, modify, perform, display, reproduce, and distribute such Content on and through the Service. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights.

You represent and warrant that: (i) the Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Links To Other Web Sites

Our Service may contain links to third-party web sites or services that are not owned or controlled by Hub Planner. Hub Planner has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Hub Planner shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

API Usage & Integrations

Hub Planner offers an API which can be accessed depending on your Hub Planner Subscription. Excessive API requests or abuse will result in your API access being temporarily or permanently suspended. The threshold of what correlates to Excessive API requests or abuse will solely be determined by Hub Planner and Hub Planner reserves the right at any time to discontinue, modify or restrict your access to the API with or without notice.

Hub Planner shall not be liable for any damages resulting from your use of the API or third-party tools that access your Hub Planner data via the API. Any use of the API or integrations offered by Hub Planner is bound by these terms.

Cancellation and Termination

You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation. An account that has been partially disabled due to a billing dispute is not considered cancellation. You can cancel your account at any time by clicking on the Settings link in the global navigation bar at the top of the screen. You will then proceed to the Billing section within the Settings page and click the link to “delete account”. From there you will follow the onscreen instructions about how to properly delete your account. You must be an Account Owner, know your password or have role rights in order to delete your account.

If you are trying to cancel on behalf of the account owner, you are required to contact us at hello AT hubplanner.com, where AT represents @ symbol and provide the Account Owner details, and verify your identity. A support representative from Hub Planner will assist you within 5 business days once your identity has been confirmed. Once confirmed, they will make you an Account Owner so you are solely responsible for properly canceling your account via the user interface.

Once Hub Planner receives your request to delete / close your account, Hub Planner has 2 business days to delete your account. Closing your account stops payment and deactivates your account immediately. Once your account is deactivated, you cannot use the Service. All of your Content will be deleted after a period to time from the Service according to data privacy laws following deactivation of your account. This information can not be recovered after it has been deleted. To reactivate your account during this period, contact us at hello AT hubplanner.com, where AT represents @ symbol.

If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease and will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. Hub Planner reserves the right to refuse service to anyone for any reason at any time.

If you signed up using PayPal, you must login to your own PayPal account and terminate the PayPal Subscription yourself. Hub Planner is not responsible for cancelling your PayPal subscription. Hub Planner reserves 7 business days to reply to your request. Once your payment is cancelled you will no longer be able to access you Hub Planner account.

If you signed up using Invoice method, you must contact us per your invoice details for any modifications to the service including upgrades, downgrades and cancellations. Hub Planner reserves 7 business days to reply to your request.

Subscription renewal is automatic and you will not be contacted before a renewal has been processed or after a renewal has been processed. We will contact you if we cannot process your renewal and will freeze services unless payment is made.

Subscriptions cancelled before the next billing period will not be charged for the next billing period.

Subscriptions cancelled after a prior billing period will be billed for the full amount of the entire subscription period with no exceptions.

Limitation Of Liability

In no event shall Hub Planner, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Hub Planner shall not be held responsible for any damage arising out of any Swedish or foreign legal enactment, or any measure undertaken by a Swedish or foreign public authority, or war, strike, lockout, boycott, blockade or any other similar circumstance. The reservation in respect of strikes, lockouts, boycotts and blockades applies even if Hub Planner takes, or is subject to, such measures. Should there be an obstacle as described in this paragraph for Hub Planner to take any action under these Terms of Services, such action may be postponed until the obstacle has been removed.

Indemnification

You agree to hold harmless and indemnify Hub Planner, and its affiliates, subsidiaries, directors, officers, members, shareholders, agents, licensors, and employees from and against any losses, liabilities, judgments, suits, actions, proceedings, claims, penalties, damages or costs (including reasonable legal fees as incurred) resulting from or arising out of (i) any breach by you of these Terms of Service and (ii) any third party claims arising from or in any way related to your use of the Service or any violation by you of these Terms of Service. In such a case, Hub Planner will provide you with written notice of such claim, suit or action. This obligation shall survive the termination or expiration of these Terms of Service and/or your use of the Service.

Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Hub Planner and its licensors. The Service is protected by copyright, trademark, and other laws of both Sweden and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Hub Planner. You acknowledge that Hub Planner owns all right, title and interest in and to the Service, including without limitation all intellectual property rights, and such rights are protected by U.S., EU and international intellectual property laws. You may not duplicate, copy, alter, reproduce, translate, adapt, modify or reuse any portion of the, code, usability, techniques, backend code, frontend code, technology, HTML/CSS or visual design elements without express written permission from Hub Planner.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Hub Planner its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; d) the results of using the Service will meet your requirements; or e) the results of using the Service, including but not limited to visual, reports, downloaded reports, graphical representations, availability, capacity, scheduled time, reported time, time conversions, billing rates, dates, or any representation of your data or usage in the service from mathematical calculations performed by the Service will be accurate or reliable.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

General

These Terms of Service constitutes the entire agreement between you and Hub Planner and govern your use of the Service, superseding any prior agreements between you and Hub Planner (including, but not limited to, any prior versions of the Terms of Service).

The failure of Hub Planner to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. You agree that, except as otherwise expressly provided in these Terms of Service, there shall be no third-party beneficiaries to this agreement. You agree that any claim or cause of action arising out of or related to these Terms of Service or the use of the Service must be filed within one (1) year after the cause of action arose or be forever barred.

In the event any of the terms or provisions of these Terms and Conditions shall be held to be unenforceable, the remaining terms and provisions shall be unimpaired and the unenforceable term or provision shall be replaced by such enforceable term or provision as comes closest to the intention underlying the unenforceable term or provision. The user’s access to and use of the Hub Planner Website, and the terms of the above disclaimers are governed by the laws of the Sweden.

These Terms of Service constitute the entire agreement between you and the Hub Planner relating to your use of and accessing to the Websites.
